Sale of Events business

Tracsis plc has sold 100% of Tracsis Events Limited to Connection Capital for a GBP7.25m enterprise value on a cash-free, debt-free basis. Consideration was paid in cash, subject to working-capital adjustments, and net proceeds will reduce debt following the anticipated Mistral Data acquisition.

Proposed acquisition of Mistral Data Limited

Tracsis agreed to buy FirstGroup's Mistral Data for £48m in cash, subject to CMA clearance. The target generated c.£13m revenue and c.£4m adjusted EBITDA in the year to 31 March 2026.
