Software Circle has acquired Gintech, owner of private-healthcare software provider Midexpro, for up to £4.5m on a debt-free/cash-free basis. It paid £2.6m at completion, with £0.6m deferred and up to £1.3m contingent on Midexpro meeting annual recurring revenue and EBITDA targets over two years.

Software Circle plc said Günter Frank Fischer, known as Frank Fischer, will join the Board as a Non-Executive Director immediately after today's Annual General Meeting in Manchester. Fischer's family investment vehicle, Value Focus Beteiligungs GmbH, holds 105,910,910 shares, or 27.15% of issued share capital.

Software Circle reported FY2026 revenue of £22.3m, with adjusted EBITDA of £5.8m and operating EBITDA of £7.6m. Post year end, the Group said it was already running at annualised revenue of around £25.0m on an aEBITDA margin of 27% and trading was in line with internal expectations.
