Rotork has published the Scheme Document for ABB's recommended cash acquisition through Bidco of all its ordinary and preference shares. The court-sanctioned schemes remain conditional on shareholder approvals, other conditions and Court sanction, with effectiveness expected in the first half of 2027.
Rotork reported interim results as ABB's acquisition offer values each share at 506p, comprising 503p cash and a 3p interim dividend, subject to approvals.
ABB has offered to acquire Rotork for 506p per share in cash, including the Rotork Permitted Dividend of up to 3p if declared or paid. The deal values Rotork's equity at about £4.136 billion and implies an enterprise value of about £4.084 billion.
