DCC Energy plc said the High Court of Ireland has ordered a shareholder meeting to consider and vote on the court-sanctioned scheme for the recommended acquisition of its entire issued and to be issued share capital. The Scheme Meeting will begin at 2:00 p.m. on 18 September 2026.

Bidco has agreed a recommended acquisition of DCC Energy, offering 6,525p cash per share. Total value is up to 6,797.22p including the 147.22p final dividend and a conditional payment of up to 125p.
DCC said first-quarter Group operating profit on a continuing basis was in line with expectations and ahead of the prior year. It also reported FY2026 revenue of GBP15.4bn and adjusted operating profit of GBP634.0m.
The consortium pursuing DCC has extended its PUSU deadline to 5:00 pm (London time) on 27 July 2026. Its improved proposal remains 6,525.00p cash per share plus a possible 125p Nexora proceeds adjustment and 147.22p final dividend.
